Effective date: November 4, 2026.
These terms of service (the “Terms”) are an agreement between Gytix LLC, a New Mexico limited liability company (“Gytix,” “we,” “us”), and the business that signs up for, orders or uses Gytix software, devices or field services (the “Customer,” “you”). The person who accepts these Terms for the Customer confirms that they have authority to bind it.
The Terms cover the gytix.com website; the Gytix platform, meaning the web app, mobile app, API, webhooks and MCP server (together, the “Service”); the devices we sell; and the installation, training, audit, warranty recovery and managed fleet desk services we provide. A written quote or order accepted by both parties (an “Order”) sets out what you buy. If an Order conflicts with these Terms, the Order controls for that purchase only.
You accept these Terms by signing an Order, by creating an account, or by using the Service.
Using this website
Anyone may read gytix.com. It provides general information about Gytix and its services. The website does not publish prices. Your Order sets the prices you pay, and they exclude tax.
The ROI calculator, the PM interval planner, the buyer’s guide and the other resources give general information and estimates based on the figures you enter. They are not financial, engineering, legal or safety advice, and the PM interval planner does not replace the manufacturer’s operation and maintenance manual for your machine.
Please do not copy the website’s text or illustrations for commercial use without our permission, try to break or overload the website, or use automated tools to collect its content in bulk. Links to other websites, such as government agencies and standards bodies, are there for reference; we are not responsible for their content.
The Gytix service
The Service is subscription software for tracking, maintaining and dispatching equipment. Each plan (Field, Shop or Command) includes the features listed on our pricing page at the time of your Order.
Accounts. Every plan includes unlimited users. You decide who has access and with what role. You are responsible for the accuracy of the information you give us, for keeping sign-in details private, and for activity under your users’ accounts. Tell us promptly at hello@gytix.com if you suspect an account has been misused.
Changes to the Service. We improve the Service over time and may change how features look or work. We will not remove a feature included in your plan, as listed when you ordered it, without at least 60 days’ notice by email, and you may cancel before the change takes effect.
Feeds and networks we do not control. Some data comes from sources outside our control, including manufacturer data feeds, other trackers you connect, GPS, and cellular and satellite networks. We connect to them as described in your Order, but we cannot guarantee their availability or accuracy, or that their owners will keep supporting them.
Plans, term and cancellation
Month to month. Every plan runs month to month and renews each month until it is cancelled. There are no multi-year terms, no automatic renewal into a longer term, and no cancellation fees.
Cancelling a plan. You may cancel any plan by emailing hello@gytix.com from an account administrator’s address. Cancellation takes effect 30 days after we receive your notice, and you pay for the Service through that date. We confirm every cancellation in writing within one business day.
Adding and removing machines. You may connect more machines at any time; they are billed from the day they connect, prorated for the first month. You may disconnect individual machines at any time, for example when you sell one. Billing for a disconnected machine stops at the end of the monthly billing period in which you disconnect it.
Annual prepay. You may choose to prepay 12 months; your quote shows both the monthly and the prepaid total. A prepaid year does not renew automatically; at its end your plan returns to monthly billing unless you choose to prepay again. If you cancel during a prepaid year, we price the months used, through the end of the notice period, at the monthly rate and refund any remaining balance.
Fees, invoices and taxes
Fees. You pay the fees in your Order: subscription fees per connected machine or asset per month, satellite data, tag and light asset fees, device prices, and field service fees.
Invoices and payment. We invoice subscription fees monthly in advance, or yearly in advance for annual prepay, and devices and field services when they are delivered. Invoices are due within 30 days of the invoice date. If an invoice is more than 15 days overdue, we may suspend the Service after giving you at least 10 days’ written notice. Suspension never deletes your data.
Billing disputes. If you believe an invoice is wrong, tell us within 30 days of receiving it. We will work with you in good faith, and you need not pay the disputed amount while we resolve it.
Taxes. Prices exclude sales, use, gross receipts and similar taxes. We add them to invoices where the law requires, and you pay them. Each party pays its own income taxes.
Price changes. We may change our prices with at least 60 days’ notice by email to your account administrators. If you do not accept a new price, you may cancel before it takes effect, and you will not pay the new price.
Hardware and the warranty
Purchase and ownership. A1 and A1S gateways, B1 trackers and T1 tags are sold, not leased. Title and risk of loss pass to you when the devices are delivered to you or installed by our crew, whichever comes first. The devices remain yours if you cancel. A device needs an active plan to send data to the Service.
Three-year replacement warranty. For three years from delivery, if a device fails because of a defect in materials or workmanship, we will replace it at no charge. Email hello@gytix.com with the serial number, the machine number and a photo of the unit. Once we confirm the fault from the device’s reports, we ship a replacement. If our crew installed the original device, we fit the replacement at no charge in New Mexico, and outside New Mexico for the trip fee we quote before the visit.
What the warranty does not cover. Damage from accidents, fire, flood, theft or vandalism; welding on a machine without first disconnecting the device; installation that does not follow our written installation guide; opening a sealed housing; and batteries wearing down through normal use. Replacement battery packs for B1 trackers are available from us.
Sole remedy. Replacement under this warranty is your only remedy for a defective device.
Installation and field services
Installation. When our crew installs devices, you give us safe access to the machines at the agreed place and time, with machines parked, shut down and locked out as your safety rules require. Our installers work to a written installation standard and record photos and a test report for every machine. Installation travel is included in New Mexico; outside New Mexico we quote a flat trip fee before the visit.
Audits, training and the managed fleet desk. Fleet right-sizing audits, onboarding and training, on-site training days and the managed fleet desk are provided as described in your Order. Audit findings are our professional opinion based on the data available, and decisions to buy, sell or rent equipment remain yours. The managed fleet desk watches alerts and follows the call list you give us; it does not replace your own security, safety or emergency procedures.
Warranty recovery. Our fee for warranty recovery is the fee stated in your Order. No recovery, no fee: if nothing is recovered, you pay nothing.
Your data
You own it. As between you and Gytix, you own all data sent to the Service by your machines and devices and all data your users enter, including locations, hours, fault codes, inspections, work orders and service history (“Customer Data”).
Our permission to use it. You allow us to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service for you, and as you instruct. We do not sell Customer Data, and we do not share it with equipment manufacturers, dealers, lenders or insurers unless you tell us to.
Export and deletion. You can export all Customer Data at any time, as CSV files or through the API, at no charge, including after your subscription ends. We delete Customer Data within 30 days of a written request from one of your account administrators, so export anything you want to keep first.
Service data. We collect technical data about how the Service and devices perform, such as message counts, error rates and response times, and use it to run and improve the Service. When we use it beyond your own account, it does not identify you, your machines or your people.
Your responsibilities. You confirm that you have the right to send us Customer Data. You are responsible for telling your workers that equipment is tracked and for meeting any laws on employee monitoring that apply to you. Our privacy policy explains how we handle personal information.
Acceptable use
You agree not to do, or let anyone else do, any of the following:
- use the Service to track a person rather than equipment, or to track equipment without any notice or consent the law requires;
- use the Service for anything unlawful, or to store or send material that infringes someone else’s rights;
- try to reach data or accounts that are not yours, interfere with the Service, or probe its security except under the responsible disclosure terms on our security page;
- copy, resell or rent the Service, or use it to build a competing product;
- reverse engineer the software or devices, except where the law allows it despite this restriction;
- send malicious code, or exceed the API rate limits in our documentation;
- fit a device to equipment you do not own or have permission to track.
We may suspend a user or an integration that breaks these rules, and we will tell you why as soon as we reasonably can.
AI features
The Command plan includes the AI maintenance agent and the MCP server.
Drafts need a person. The AI maintenance agent reads fault codes, hours, inspection notes and service manuals to draft work orders and parts lists, and answers questions about your fleet in English or Spanish. Its output can be incomplete or wrong. Everything it drafts is a proposal: the Service does not let it close a work order or order parts until one of your users approves the draft, and you are responsible for reviewing its output before you rely on it.
Not a mechanic or a manual. AI output does not replace the manufacturer’s manual, a qualified mechanic or your safety procedures. Do not rely on it to decide whether a machine is safe to operate.
MCP server. The MCP server lets AI assistants your team already uses query fleet data and create draft work orders, with the same permissions as the user who connects it. You choose which assistants to connect. Their providers’ terms and privacy practices apply to what you send them, and we are not responsible for those assistants.
Model training. We do not use Customer Data to train AI models for anyone else, and we do not allow the providers that run our AI features to train their models on it.
Availability and support
Availability. We work to keep the Service available around the clock. Where we can, we schedule planned maintenance outside 7 a.m. to 5 p.m. Mountain Time on weekdays and announce it to account administrators in advance. A1 and A1S gateways store up to 30 days of readings while a network or the Service is unavailable and send them when the connection returns. Unless your Order includes a service level commitment, we do not guarantee a specific uptime.
Support. Support is by email at hello@gytix.com, Monday to Friday, 7 a.m. to 5 p.m. Mountain Time. A person replies within one business day, and critical issues sent with “Urgent” in the subject are answered within two business hours during business hours. Customers who buy the managed fleet desk have their alerts watched around the clock.
Warranties and disclaimers
Our promise. We will provide the Service with reasonable skill and care, and it will perform materially as described in our documentation. If it does not, tell us and we will work to fix it. If we cannot fix it within 30 days, you may cancel the affected plan immediately, and we will refund any fees you prepaid for the period after cancellation.
Disclaimer. Except for the promises in these Terms, the website, the Service, the devices and our field services are provided “as is” and “as available.” To the extent the law allows, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We do not promise that the Service will be uninterrupted or error-free, that it will prevent theft, breakdowns or losses, that any stolen machine will be recovered, or that you will save any particular amount of money.
Limitation of liability
No indirect damages. To the extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, loss of use of equipment, downtime, replacement rental costs or delay damages, even if it was told they were possible.
Cap on liability. To the extent the law allows, each party’s total liability arising out of or relating to these Terms is limited to the amounts you paid Gytix in the 12 months before the event that gave rise to the claim.
Exceptions. These limits do not apply to your obligation to pay fees, to either party’s indemnity obligations, to liability for fraud, gross negligence or willful misconduct, or to any liability the law does not allow to be limited.
Indemnity
By you. You will defend Gytix against any third-party claim arising from your use of the Service in breach of the acceptable use rules, from Customer Data, or from your failure to give any notice or obtain any consent the law requires for tracking equipment your workers operate. You will pay the damages, costs and reasonable attorneys’ fees finally awarded or agreed in settlement.
By us. We will defend you against any third-party claim that the Service or our devices, as we provide them, infringe a United States patent, copyright or trademark or misappropriate a trade secret, and we will pay the damages, costs and reasonable attorneys’ fees finally awarded or agreed in settlement. If such a claim is made or seems likely, we may get you the right to keep using the item, change it so it no longer infringes, or, if neither is reasonable, end the affected Service and refund prepaid fees for the remaining period. We have no obligation for claims caused by your changes, by combining our products with things we did not provide, or by use in breach of these Terms.
How it works. The party asking to be defended must tell the other promptly, let it control the defense and settlement, and give reasonable help at the defending party’s cost. No settlement may admit fault for the protected party or impose obligations on it without its consent.
Confidentiality
Each party will keep the other’s non-public business information confidential, use it only for the purposes of these Terms, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the receiving party, that it already knew, that it received from someone else without a duty of confidence, or that it developed independently. A party may disclose confidential information when the law requires it, after giving the other party notice where the law allows.
Suspension and termination
We may suspend the Service, in whole or for particular users, to stop a security threat or serious harm, when the law requires it, or for overdue invoices as described above. We will limit any suspension to what is necessary and lift it as soon as the reason is resolved.
Either party may end these Terms if the other materially breaches them and does not cure the breach within 30 days of written notice. We may also end your plans for any reason with at least 60 days’ written notice, and we will refund any prepaid fees for the period after the end date.
When these Terms end, your right to use the Service stops, your data stays available for export until you ask us to delete it, and you pay any fees owed through the end date. Sections that by their nature should continue, including fees owed, data export, disclaimers, limitation of liability, indemnity, confidentiality and governing law, survive.
Governing law and venue
These Terms are governed by the laws of the State of New Mexico, without regard to its conflict of laws rules. Any lawsuit arising out of or relating to these Terms, the website or the Service must be brought in the state courts located in Bernalillo County, New Mexico, or in the United States District Court for the District of New Mexico sitting in Albuquerque, and each party consents to the jurisdiction of those courts.
Before starting a lawsuit, the party with the complaint will email the other a written description of it, and both will try in good faith to resolve it for 30 days. Either party may ask a court for urgent relief to protect its data, confidential information or intellectual property at any time.
Changes to these terms
We may update these Terms. We will post the new version on this page with a new effective date. If a change is material, we will email your account administrators at least 30 days before it takes effect. If you do not agree to the change, you may cancel before it takes effect, and the earlier Terms will apply until your cancellation date. Using the Service after a change takes effect means you accept the updated Terms.
General terms
- Entire agreement. These Terms, your Orders and our privacy policy are the whole agreement between us on their subject and replace earlier discussions. Terms printed on your purchase orders do not apply, even if we accept the purchase order.
- Assignment. Neither party may assign these Terms without the other’s written consent, except to a successor in a merger or a sale of substantially all of its business, with notice to the other party.
- Events beyond control. Neither party is liable for delays caused by events beyond its reasonable control, such as severe weather, fire, flood, network or power failures, or government action. This does not excuse paying fees.
- Notices. Notices to us go to hello@gytix.com. Notices to you go to your account administrators’ email addresses. An email notice is effective when sent, unless the sender receives a delivery failure.
- Severability and waiver. If a court finds part of these Terms unenforceable, the rest stays in effect. Not enforcing a term is not a waiver of it.
- Relationship. The parties are independent contractors. These Terms create no partnership, agency or employment relationship, and no rights for anyone else.
- Publicity. We will not name you as a customer, use your logo or describe your fleet in public without your written permission.
